[A] Budget: Looking for Proposals
[B] Scope of Service:
(1) Vendor needs to provide legal services related to the issuance of debt instruments by the county to the government authority located in Waterford, MI.
- Legal services for the planning and development of proposed debt issues and the tax implications of the use of proceeds of those issuances, which includes any tax implications of projects being financed by county issued bonds.
- Attending and participating in meetings for the development or sale of debt issues. Assist with the dissemination of information as determined by the county to be necessary.
- Participating in legal or administrative proceedings in for the drafting and review of documents for authorization, sale, issuance and delivery of debt instruments to ensure compliance with applicable federal and state laws.
- Attending meetings of county officials, staff members, the county's financial advisor(s), and if a negotiated sale is undertaken, representatives of the selected underwriters, when requested.
- Attending meetings of the county board of commissioners, its committees and study groups related to the issuance of debt.
- Reviewing of any financing program proposed by the county's financial advisor and advising as to compliance with applicable laws and pending or proposed revisions in the law, including U.S. treasury regulations.
- Providing a schedule of events for timely issuance of debt instruments (e.g., revenue, general obligation bonds and notes); advise on procedures, required approvals, filings, potential cost-saving techniques and other legal matters whether the financing is undertaken by competitive bid or negotiated sale.
- Preparing legal documents and any amendments required in order to authorize the issuance of debt instruments (Bonds or notes).
- Preparing trust indenture; escrow deposit agreement; trustee, registrar or paying agent agreements; and any other agreements or similar documents necessary, related or incidental to a debt offering.
- Assisting the county in presenting information to rating organizations and credit enhancement providers affecting the issuance of debt instruments.
- Reviewing or preparing the initial disclosure documents for the offer and sale of debt instruments (e.g., Bonds or notes).
- Reviewing or preparing the notice of sale or purchase contract for debt instruments (e.g., Bonds or notes), and reviewing or drafting the continuing disclosure undertaking of the County.
- Provide plan for advertising and marketing of debt instruments.
- Advising on legal issues relating to compliance with IRS regulations of post-issuance matters, SEC and MSRB regulations relating to continuing disclosure.
- Providing any other legal services related to debt issuances.
(2) All questions must be submitted no later than August 1, 2019.
